company’s success in having an excellent finance/accounting department
and achieve scalability and sustainability in the ensuing years as
the company grows
6. Implement systems and procedures to ensure the first three items
above, a timely close on a monthly basis, strong internal controls,
and excellent reporting and analyses for management use
7. Collaborate with management in coming up with a financial forecast
that has good predictability and a high probability of its successful
outcome
We commence our work with an assessment of where the company is so
we can give the company an overview of what work needs to be done.
An ongoing update to the company officers as the work is being done
would also be appropriate. The most visible output is an audit-ready
set of financial statements, with supporting documentation to facilitate
a quicker and good audit, as opposed to one fraught with problems.
This will result in lower audit fees and quick time to market for
the company’s S-1. We would also prepare the documents to go in the
S-1, which would also lower the premium audit fees that the Big 4
firms charge for IPO work.
We can perform these services utilizing a flexible pricing structure
that is very competitive with Big 4 rates. We are CPAs and MBAs who
have IPO, SEC, SOX, and M&A transaction experience, working for
and/or with Big 4 firms.

Lin has advised a number of companies in her capacity as consultant, CFO and Corporate Controller, including PC-Tel’s IPO (Taiwanese VC backed) and secondary offering (raising a total of $200 million, and creating a market capitalization exceeding $2 billion), and SOLA International’s spin-out and IPO (a $500M global healthcare product manufacturer). Lin also served as the CFO for MeetChina.com, a privately held Internet B2B start-up company with 700 employees and operations mostly in China. She headed MeetChina.com legal, tax, financial and due diligence strategies for expansion into five new Asian markets.
She has served on the board of Nanosig, Planned Parenthood, GeoCom Inc. and Nanospire Inc. Ms. Chan holds an MBA from Santa Clara University and an Accounting and Finance degree from the University of Tasmania, Australia.
Deborah brings her experience of legal counsel for private and emerging companies at Wilson Sonsini, Goodrich & Rosati to our clients. She has managed more than 30 venture-backed equity financings, four acquisitions, and five IPOs. On business plan development projects, she advises on capital structure, deal structure, and other business formation issues.
In addition to Wilson Sonsini, Goodrich & Rosati, she has also served as a litigation associate for Graham and James, as well as Steefel, Levitt & Weiss.
Deborah holds a B.A. in Economics and Women’s Studies from Stanford University and a J.D. from the University of Michigan Law School.
Alan provides international tax planning strategy and tax compliance to our clients. His previous experience has includes serving as general counsel for SealedMedia and Palaver Communications, and as international tax partner at KPMG where he focused on mergers, acquisitions, high technology, and leasing.
He is currently an associate instructor in the Masters of Taxation program at Golden Gate University, Chairman of UC Berkeley’s conference on Transfer Pricing. He is also affiliated with the California Society of Certified Public Accountants, the California Counsel for International Trade, and the China External Trade Development Council.
Alan holds a Bachelor of Science in Business from the University of California, Berkeley, a Masters in Taxation from Golden Gate University, and a JD from San Francisco Law School.
In 2000, Delyse teamed up with her top client, David Powell Inc., to form DNA, after working with Accountants, Inc. (AI) and Management Solutions (MSI). At MSI, her career progressed from Interim Account Manager to Director of Client Development, achieving status as the top producer in the organization. Prior to MSI, Delyse worked for 8 years at Accountants, Inc., in roles that included Contingency Placement, Interim Staffing, Branch Manager, Sales Manager and Vice-President of Sales. Delyse consistently held top producer status for the entirety of her 8-year career with AI.
Delyse sits on the Board of Community Solutions, located in the South Bay.
Connie has been an entrepreneur in both retail and real estate. In a “service” role for most of her professional career, Connie practices integrity, trust and professionalism. These attributes are at the heart of everything she does in serving her clients.
Connie serves on the Board of Directors for the Charitable Foundation Trust of the Silicon Valley Association of Realtors, and volunteers for various alumni-related activities for Santa Clara University, her Alma Mater.
